South Africa’s amended Companies Act has introduced stronger remuneration disclosure and shareholder approval requirements, reflecting a broader international shift towards greater pay transparency, accountability and fairness. For Namibia, the opportunity is not necessarily to replicate the South African model, but to consider which principles are appropriate to the local context.
Namibian organisations can prepare for evolving expectations by strengthening remuneration policies and governance, executive and board benchmarking, pay equity and pay-gap analysis, incentive alignment, Remuneration Committee processes, and remuneration reporting. The objective should be to ensure remuneration decisions can be clearly explained and demonstrated to be competitive, evidence-based, aligned with strategy and performance, fair, affordable and defensible.
